a) Board of Directors (BOD)

The HELP Uganda Board of Directors (BOD) is responsible for the stewardship and strategic leadership of HELP Uganda. In addition the Board reviews and guides HELP Uganda’s strategy, Operations policies, major plans of action, risk policy, annual budgets and business plans, setting performance objectives, monitoring implementation and overseeing ongoing programs, major capital expenditures, acquisitions and disposals. It also approves the constitution, governance manual, policies, strategy, programs, budgets, financial statements, audit reports, agreements, contracts, protocols, byelaws, and all policies.

The BOD has four standing committees to which it delegates specific responsibilities. The standing committees are the: Executive Committee, Programmes Committee, Audit and Finance Committee, and Human Resource Committee. The BOD may also create ad hoc committees as needed.

b) Management

The Secretariat is responsible for the day to day operations of HELP Uganda. The Country Director (CD) heads the Secretariat and is responsible for ensuring the efficient functioning of the Secretariat and reports to the Board of Directors. The CD is the Chief Executive Officer and spokesperson for HELP Uganda. He supervises the heads of departments including, Head of Finance, Head of Programme, Head of Human resources, Head of Strategy and Business development, Head of Administration and procurement, Grants Manager etc. The heads of department constitute the Senior Management T Head Administration and procurement eam (SMT) which is chaired by the Country Director.
